Usage of the service provided through the website ("Service"), including but not limited to visiting, or browsing the Site constitutes agreement to comply with the Agreement and additional terms and policies referenced on the Site.

＜General Rules＞

User's Country of Residence

You may not use the Service or agree to our Terms of Use if the country you live in or you are making access to the Site from prohibits using our Service by law.

Definitions

Words in Terms of Use and additional policies referenced on the Website including the Privacy Policy and Guidelines to the Service have the meaning specified below unless the context otherwise requires.

1. Service: Any service provided on the iichi website ("Site" or "Website") at http://www.iichi.com/ by iichi, LLP ("iichi").
2. Terms of Use: These terms, conditions and agreements regarding our Service, conditions we set out regarding how we handle your personal information (hereafter referred to as "Privacy Policy"), and the Guidelines to the Service.
3. Member(s): Individual(s) agreed to the Terms of Use and registered to the Service by following the routine procedure. Membership is activated when iichi approves your registration.
4. User(s): All users of the Site including registered members, individuals who are signing up for membership, and visitors of the Site ("Visitors"). When the term, "third party," is used, it includes Visitors unless otherwise specified.
5. Website or Site: All the pages of the Website at http://www.iichi.com and any images, videos, words, sentences, CGI and programs used on the Site in purpose to provide the Service.
6. Contents: Pictures, videos, text and messages posted or uploaded on the Site by User.
7. Listing: Entering and uploading required information of an item to the Website by Member to enable other Members to browse and purchase the item.
8. Buyer (s): Member who purchases items listed on the Site.
9. Seller (s): Member who lists and sells items made by the Member him/herself.
10. Service Fee: Amount charged as sales fee, system usage fee and any other fees related to usage of the Service. This excludes payment for the item itself and shipping cost.

Agreement to the Terms of Use

You must agree to and comply with the Terms of Use in order to use the Service. If you do not agree to the Terms of Use, you cannot use any of the Service provided by iichi.

Treatment of Personal Information

iichi handles your personal information under the Privacy Policy posted on the Site.

Equipment Needed to Use the Service

User is responsible for all expenses related to the usage of the Service such as devices, software, and connection fees to the Internet.

Modification of or Addtion to the Terms of Use

iichi at its sole discretion can modify all or part of the Agreement or add supplemental policies, terms, and agreements, which also constitute this Terms of Use without notice. Modification and addition to the Agreement take effect when these changes are posted on the Website.

Modification or Termination the Service

1. iichi reserves the right to modify, add, suspend or terminate the Service temporarily or permanently for any reason at any time without notice.
2. iichi is not responsible for any consequential damage incurred by termination, temporary suspension, modification and/or addition mentioned in the preceding paragraph. Please check the Site frequently for any notice, as iichi will make as much effort as possible to notify of any modification or termination in advance.

Notification policy

1. When necessary, iichi will make contact to Member via email, phone, or postal mail using the information given by the Member.
2. Any contact from Member to iichi for inquiries, notifications, or any other reasons shall be made using the contact information posted on the Site.
3. iichi owns the right to confirm Member's identity by the procedure decided by iichi when Member makes inquiry following the conditions stated in the preceding paragraph. iichi will decide the best means of response (e.g. email, phone, postal mail etc.) to each inquiry.

Membership Eligibility

1. This Agreement applies to all Members and Users. In order to use the Service, Member must comply with the Agreement during and after the registration procedure.
2. Member must provide true and accurate information in the registration procedure, and must keep it accurate after registration.
3. Individuals who are under the age of 18 cannot register for membership. Individuals who are over 18 but no older than 20 must be fully approved by the parental authority to register to iichi and use any functions or Service provided on the Site.

ID and Password

1. You are fully responsible for keeping your ID and password secure. You may not transfer, sell, pledge, or rent your membership, ID, password.
2. You are fully responsible for any activity conducted using your ID and password, including activity by third parties using your ID and password without your permission. iichi will not be held responsible for any loss or damage incurred by your failure to keep your ID and password secure. This excludes the case where the disclosure or leak of such information is caused by iichi intentionally or negligently.
3. You are fully responsible for any loss, damage and/or legal liability arising from the devices, phone lines, and/or software that you use to access the Site and caused by your own failure to use the Service appropriately. iichi is not liable for any damage incurred by reasons mentioned above.
4. Contact iichi immediately in case your ID and/or password is disclosed to a third party. iichi can terminate your ID and/or password, but will not be liable for any damage or loss incurred by disclosure of such information. This excludes the case where the disclosure or leak of such information is caused by iichi intentionally or negligently.
5. Make sure to sign out after using the Service to avoid a third party abusing your ID and password without your permission.
6. It is your responsibility to change your password regularly to keep your account information secure and avoid any possible troubles.

Deregistration and Suspension of Membership

1. iichi at its sole discretion can deregister Member, delete all or parts of the contents and information related to the Member, or refuse access to all or parts of the Service. iichi will not be obligated to explain the reason of deregistration or refusal of access.
   A Member's account may be deleted or suspended:

   1. When iichi judges that the information provided by Member in the registration procedure was false.
   2. When Member infringes the Agreement and/or applicable laws including local, national and international laws.
   3. When iichi judges that Member has caused unjustified trouble to other Members or third parties, including but not limited to malicious cancellation of transaction.
   4. When incidence of troubles with other Members or third parties, whether intentional or negligent, is over the standard decided by iichi.
   5. When iichi suspect misconducts by Member.
   6. Any other cases when iichi judges that Member is unsuitable for membership.
2. When iichi judges Member is unsuitable for membership, iichi can delete Content posted by him/her and suspend or deprive of any rights towards iichi or other Members that arise from using the Service.
3. 3) iichi will retain the right to refuse usage and access to the Service by deregistered Member in the future.
4. iichi is not responsible for any damage or loss arising from any action taken under this provision. iichi can at its sole discretion withhold payment of any fees that is due at the moment of action taken under this provision or clear the payment by other means decided by iichi.

Cancelation of Membership

Member can cancel his/her membership by following the procedure prescribed on the "Cancelling Membership" page of the Site. Member cannot cancel his/her membership until all transactions are completed. In such case, Member needs to complete all transactions under the Terms of Use without delay before Member begins the cancelation procedure.

Using the Service

1. Buyer agrees to pay for purchased items and to have them delivered through the Service.
   Buyer is fully responsible to confirm and determine the item s/he is planning to purchase is legal or if it requires any legal permission. Seller must post accurate and precise description of the listed item and specify conditions of transactions clearly.
2. All Sellers and Buyers that utilize the Service are fully responsible for any matters regarding agreement of a transaction, shipping and receiving of the purchased item, making and receiving of the payment for the item. Any troubles between Seller and Buyer should be resolved directly between the parties concerned. iichi advises you to practice caution when making transactions on the Site.
3. iichi is operated on the assumption of good faith of Member. When an item listed is purchased, Buyer and Seller should complete the transaction under the sales contract prescribed on the Site. Buyer and Seller are expected to act in good faith in agreeing a transaction, making payment, shipping and receiving the item purchased. By purchasing items, you agree that you have accepted rules and conditions posted on the item listing page, and by performing the purchase procedure, you are considered to be declaring your qualification to purchase the item concerned
4. iichi is not liable for violation of the copyright law, defamation of others or violation of the rights of others in relation to transactions. You are fully responsible for resolution of the conflict and related expenses.
5. iichi may disclose personal information such as ID, usage history, name and address to business partners in order to refuse registration by User;
   • Who violated the Agreement, by, including but not limited to, delaying payment for the item or of any other fees related to the Service and causing damage to other Users or third parties.
   • Who used the Service for abusive or unjustifiable purposes.
6. iichi will not be held responsible for deleting or not preserving User's messages, postings or Content on the Site. iichi also retains the right to delete inactive Member IDs and account pages.
7. You must comply with all laws, cabinet orders, ministerial orders, ordinances, regulations and any other orders related to the usage of the Service.
8. You agree to not use the personal information of others that you obtain through the Service for any other purpose than to participate in the Service or to complete transactions. You are prohibited from using the Service for the purpose of collecting others' personal information. Such personal information includes but not limited to name, email address, text, images, pictures, sound, and comments that are posted or sent in relation to the Service.

Listing and Selling

Seller shall list and sell items that comply with the condition listed below:

Payment and Settlement

[Service Fee]

1. The amount of charges and fees related to the usage of the Service is specified in separate agreements on the Site including the Guidelines to the Service.
2. Payment and settlement of the fees mentioned in the preceding paragraph shall be conducted through the online payment system provided by iichi.
3. Receipts are not available for payment of any fees related to the usage of the Service.
4. You are fully responsible for transfer fees and any other expenses related to payment.

[Means of settlement]

1. You need to provide a means of settlement by registering valid credit card information or bank account information on the online payment system of the Site.
2. 2) All payment and settlement must be conducted under the Guidelines to the Service specified on the Site.
3. You must keep your credit card or bank account information up-to-date. If there is any change to such information, you must re-register a valid method of payment or settlement immediately.

[Modification to the Service Fees]

iichi may choose to change the amount of the service fees in the future, which include sales fee, subscription fee and/or any other fees related to the usage of the Service. iichi will provide a 30-days notice by posting any changes to the service fees on the Site. Modifications take effect after 30 days from the day iichi posted the notice, at which point you will be considered to have agreed to the modification.

Prohibited activities

Visitors of this site, registered or non-registered, and any third parties associated may not conduct any of the following activities (hereafter referred to as Prohibited Activities).

1. You may not violate the Agreement including but not limited to the Privacy Policy and other terms iichi prescribes.
2. You may not violate any applicable law, statute, ordinance or regulation nor contain any expression that may encourage such activity.
3. You may not list or sell prated materials, replica items or items, materials, or products that are copyrighted, trademarked, or patented by another party.
4. You may not list or sell items such as below:
   • Items that are not handmade
   • Items not made by Seller him/herself
   • Digital contents
   • Items that are prohibited for exhibition and sales by law
   • Items that Seller is not qualified to sell under the applicable law
   • Tobacco
   • Membership
   • Adult material
   • Medicine and medical equipment
   • Animals and insects
   • Hazardous items including but not limited to fireworks and explosives
   • Items that may be used in crimes including but not limited to air guns, stun guns, teargas spray, edged tools, bugging devices, subminiature cameras and infrared cameras.
   • Any items that violate the Terms of Use and the Guidelines to the Service or iichi determines to be inappropriate
5. You may not conduct any action that puts too much strain on the server.
6. You may not interfere with the operation of the Service or iichi's network system.
7. You may not defame or harm other Users or violate any of their rights including but not limited to privacy rights, publicity rights, and copyrights. To use the Service, you must be fully aware of the rights of other Users.
8. You may not harass, threat or harm other Users mentally or financially.
9. You may not make postings on the Site or send messages to other Users that contains information:
   • ・That is for commercial or advertising purposes unless approved by iichi.
   • ・That includes affiliate links.
   • ・That solicits others for pyramid selling, chain mailing or any other commercial activity.
   • ・That leads others to websites that contain adult materials.
   • ・That iichi determines to be inappropriate.
10. You may not send spam messages.
11. You may not hold more than one account.
12. You may not post false description or images for listed items.
13. You may not use the personal information such as e-mail address, URL and postal address you obtained by using the Service for other commercial or advertising purposes.
14. You may not conduct any activity that is offensive to public order and morality.

You are fully responsible for all the activities you conduct intentionally or negligently and accept liability for any damage done to other Users or third parties by your Prohibited Activities listed in the preceding paragraph. If any Prohibited Activities you or any others associated conduct causes damage and/or loss to iichi, all the parties concerned must collectively indemnify iichi for the damage and/or loss imposed.

You are responsible for any liability and expense necessary in resolving disputes between licensees or any authorized members that are caused by your violation of the rights of the parties concerned. If such violation imposes damage and/or loss to iichi, you must indemnify iichi for the damage and/or loss. Iichi, at its sole discretion, holds the right to delete without notice any Content that iichi determines to be violating intellectual property rights of third parties.

＜Disclaimer of Warranty＞

1. iichi will make the best effort to ensure smooth operation of the Service, but is not liable for any loss or damage that arises from modification and addition to the Service, system failure or any other unforeseen factors.
2. iichi reserves the right to terminate or suspend usage of the Service if User violates this Terms of Use and/or applicable laws, or if iichi discovers any misconduct by User. iichi is not responsible for any loss or damage that arises in such cases.
3. iichi will stay uninvolved in any communication between Members and/or activity by Members. Any disputes between Members should be resolved directly between the parties concerned, and iichi will not be held responsible except when iichi determines the dispute is caused by illegal activity.
4. You are fully responsible for any action you conduct on the Service.
5. iichi is not responsible for management or preservation of any data such as text and images posted by Member. Member is fully responsible for managing the information s/he posts. iichi is not responsible for any dispute or damage that arises from such information.
6. iichi is not liable for any damage or loss that is incurred by accessing websites and resources linked from advertisements or postings by User on the Site.
7. iichi is not liable for any damage or loss that arises from or in connection with usage of the Service, status of Service provision, status of internet connection and environment of Service usage.

Responsibility for and Deletion of Contents

1. iichi will not control or verify postings on the Site for their content, quality, accuracy, credibility, legality (including possible infringement on the rights of another), recency or usability.
2. iichi will not warrant or assume liability for content, quality, accuracy, credibility, legality, recency or usability of the information regarding transactions and/or posted and uploaded by Users on the Site.
3. iichi is not responsible for any loss or damage that arises from using Content provided on the Site. You are fully responsible for Content you post or send on the Site.
4. You are fully responsible to judge the content, quality, accuracy, credibility, legality (including possible infringement on the rights of another), recency, or usability of the information posted by other Users.
5. iichi can delete any Content posted on the Website without notice and in its sole discretion in case of violation of the Terms of Use or any other cases iichi determines that the information is inappropriate.
6. iichi can modify and/or delete any content that iichi determines to be inappropriate.

Intellectual Property

1. All the industrial rights, systems, know-how, programs, copyrights, intellectual rights and any other rights related to rights mentioned hereby are property of iichi. You may not copy or sell these without a written consent from iichi.
2. The copyrights of Content are retained by the original poster of the information. By posting on the Site, you are agreeing that iichi may make a secondary use of the information in ways such as quoting and reprinting in outside websites and publications. Content will remain on the Website and the Service after you cancel your account.
3. When you post on the Site, you are warranting that the copyrights of Content and other related rights belong to you and that Content does not infringe rights of any third parties.
4. If you defame others, violate the copyright law or infringe others' rights in any way, you are fully responsible to resolve the dispute at your own risk and expense. iichi takes no responsibility in such cases.

＜Applicable law and Jurisdiction＞

This Agreement and the relationship of iichi and its User are governed by the Japanese law. Any disputes between iichi and User in regard to the Agreement shall be submitted to the exclusive jurisdiction of the Tokyo District Court in the first instance.
